1. Scope of Application

1.1 These T&C apply to all offers, deliveries, sales, work services, modifications, refinements, partial modifications, and other services provided by Netz Werk Engineering GmbH.
1.2 They apply in particular to work on vehicle interiors, for the supply of components, materials, accessories, performance parts, seats, nets, interior components, and for orders placed via the online shop.
1.3 Deviating customer conditions are only valid if we have expressly agreed to them in writing.

2. Subject of the Contract

2.1 We provide individual services in the field of vehicle interiors, refinement, modification, partial modification, and supply of products and components.
2.2 The specific scope of services is exclusively derived from the respective offer, order confirmation, product description, or separate agreement.
2.3 Illustrations, visualizations, samples, colors, and material representations are for illustrative purposes. Minor deviations are reserved, provided they are technically, material-related, or industry-standard.

3. Conclusion of Contract

3.1 Our offers are, unless otherwise stated, valid for 14 days.
3.2 A contract is concluded by
a) written acceptance of an offer by the customer
b) our written order confirmation
c) completion of an order in the online shop
d) commencement of execution at the customer's request
3.3 We are entitled to reject orders or commissions without stating reasons, especially in case of availability problems, technical risks, or justified doubts about feasibility.

4. Services and Changes

4.1 Only the scope of services agreed upon in writing is decisive.
4.2 Customer requests for changes after conclusion of the contract require written confirmation.
4.3 Changes may lead to additional costs, extended delivery or execution times, and technical adjustments.
4.4 There is no right to implement change requests without our written confirmation.

5. Prices

5.1 All prices are in Swiss Francs (CHF), unless otherwise specified.
5.2 For work services, modifications, and refinements, the prices listed in the offer or order confirmation apply.
5.3 For shop products, the prices displayed in the shop at the time of ordering apply.
5.4 Additional services, extra work, special requests, express services, and subsequent changes will be charged separately.
5.5 If hidden pre-damages, third-party damages, or additional technical problems are found during disassembly or inspection, we are entitled to interrupt the work until consultation with the customer and to prepare an adjusted offer or supplementary agreement.

6. Payment

6.1 We are entitled to demand a down payment for orders, special orders, and custom-made products.
6.2 Partial payments can be agreed upon according to project progress.
6.3 Invoices are, unless otherwise agreed, payable net within 10 days.
6.4 For shop orders, the purchase price is due immediately upon completion of the order, unless another payment method is offered.
6.5 In case of default of payment, we are entitled to withhold further services or deliveries.
6.6 Until full payment, delivered goods, materials, and components remain our property, to the extent permitted by law.

7. Dates, Delivery Times, and Delay

7.1 Delivery and execution dates are non-binding planning values, unless they have been expressly designated as binding in writing.
7.2 Delays due to material shortages, delivery problems, import delays, force majeure, technical problems, or lack of customer cooperation do not entitle the customer to withdraw from the contract or to claim damages.
7.3 We are not liable for delays caused by manufacturers, suppliers, logistics service providers, customs offices, or other third parties.
7.4 For work services, any deadline only begins when all technical details have been clarified, materials are available, and any down payments have been received.

8. Vehicle Acceptance and Handling of Vehicles

8.1 The condition of the vehicle can be documented by photo or video upon acceptance.
8.2 The customer must remove all personal items, valuables, and non-permanently installed items from the vehicle before handover.
8.3 We are only liable for left-behind items in cases of intent or gross negligence.
8.4 Test drives are only carried out if required for inspection, troubleshooting, tuning, or acceptance.

9. Material, Samples, and Execution

9.1 Material samples, color samples, and surface samples are non-binding references.
9.2 Natural materials, leather, Alcantara, textiles, carbon, and other surfaces may show structural, color, and batch-related deviations. Such customary or material-typical deviations do not constitute a defect.
9.3 The customer is obliged to check approved samples, colors, and designs before the start of production. After approval, the customer bears the risk of erroneous design decisions, provided that we have implemented the contract as agreed.

10. Acceptance

10.1 After completion, the customer must inspect the work or goods without delay.
10.2 Acceptance takes place at the latest upon vehicle handover, commissioning, or written confirmation.
10.3 Obvious defects must be reported immediately, at the latest within 5 calendar days after handover, in writing.
10.4 If timely notification is not made, the service is deemed approved, to the extent permitted by law.

11. Warranty and Defects

11.1 The statutory provisions of Swiss law apply, unless these T&C provide for deviations and these are legally permissible.
11.2 In the event of justified defects, we primarily have the right to rectification or replacement delivery.
11.3 Further rights of the customer, in particular withdrawal, reduction, or compensation for damages, only exist if rectification or replacement delivery has definitively failed or has been expressly refused by us, to the extent permitted by law.
11.4 No warranty exists in particular for
a) normal wear and tear
b) improper use or care
c) damage due to incorrect assembly or further processing by the customer or third parties
d) damage due to accident, heat, moisture, UV exposure, chemical influences, or third-party interventions
e) material-typical properties and minor, technically unavoidable deviations
11.5 The customer must document defects in writing and comprehensibly. Upon request, photos, videos, or the affected product must be submitted.

12. Liability

12.1 We are only liable for direct damages caused by our intentional or grossly negligent conduct.
12.2 In cases of slight negligence, we are only liable for the violation of essential contractual obligations and only for typically foreseeable damage, to the extent permitted by law.
12.3 Any liability for indirect damages, consequential damages, loss of profit, loss of use, depreciation, third-party claims, and indirect financial losses is excluded, to the extent permitted by law.
12.4 Liability for manufacturer information, product approvals, registration issues, registrability, country-specific regulations, or the usability of products in certain countries is excluded, unless we have expressly provided written advice on this.

13. Withdrawal and Cancellation for Work Services

13.1 Before commencing work, the customer can cancel the order in writing. Already incurred expenses, consulting services, ordered materials, special materials, and non-cancellable third-party services will be charged in full.
13.2 After commencing work, cancellation is only possible with our consent. In this case, all services rendered up to that point, ordered materials, reserved production capacities, and incurred costs will be charged.
13.3 There is no right to return, credit, or refund for materials and components ordered, cut, prepared, refined, personalized, or already processed specifically for the customer.

14. Online Shop, Shipping, and Delivery

14.1 The products offered in the shop are subject to the respective product description.
14.2 Deliveries within Switzerland are, unless otherwise indicated in the shop, free of shipping costs.
14.3 For international orders, shipping costs apply. These will be communicated to the customer at checkout or separately before shipping and are to be borne by the customer.
14.4 All costs associated with international shipments, in particular customs duties, import taxes, customs clearance costs, processing fees, storage fees, delivery surcharges, and other charges in the destination country, are exclusively borne by the customer.
14.5 If the customer abroad refuses acceptance, customs clearance, or payment of such costs, we are entitled to charge the customer for all resulting costs, return shipping costs, fees, and expenses or to offset them against payments already made.
14.6 Delivery times abroad are non-binding. Delays due to customs, import inspection, security checks, or foreign authorities are beyond our control.
14.7 Risk and benefit pass to the customer upon handover to the transport company, to the extent permitted by law.

15. Return and Exclusion of Return

15.1 A right of return only exists if it is expressly provided for in these T&C or in the respective product description.
15.2 Returns of standard products are only possible with our prior written consent. There is no right to return.
15.3 A prerequisite for any return is that the goods are unused, undamaged, complete, in their original packaging, and in a resalable condition.
15.4 The following are unconditionally excluded from return, exchange, and refund:
a) individualized or personalized products
b) products manufactured, adapted, ordered, coated, upholstered, embroidered, embossed, perforated, sewn, refined, or otherwise processed specifically for the customer
c) products that have already been installed, assembled, glued, screwed, adapted, used, or further processed
d) products with signs of assembly, installation, use, stress, or wear
e) special orders and procurement items not kept in stock
15.5 Products that have already been installed or assembled are excluded from return and exchange even if the installation was carried out by the customer or by third parties. The customer must therefore check products for correctness, completeness, and obvious defects before installation.
15.6 Returns without our prior written approval will not be accepted or will be returned at the customer's expense.
15.7 In the event of an exceptionally approved return, the customer bears all return shipping costs and the transport risk.

16. Special Regulation for Individualized Products

16.1 Products that are manufactured, adapted, upholstered, dyed, embroidered, embossed, perforated, sewn, coated, or otherwise individualized according to customer requirements are considered custom-made products.
16.2 For custom-made products, return, exchange, conversion, or voluntary return are excluded.
16.3 This also applies if the customer subjectively dislikes the product or if a different color, design, or configuration is desired later.
16.4 For custom-made products, orders are binding and cannot be canceled or changed after production release, unless we expressly agree in writing.

17. Built-in and Installed Products

17.1 Products that have been built-in, assembled, glued, screwed, adapted, or otherwise connected to the vehicle or another object are excluded from return and exchange.
17.2 Disassembly for reverse transaction will not take place, unless we are expressly willing to do so in writing due to a defect recognized by us.
17.3 Costs for removal, re-installation, consequential damages, third-party work, downtime, or ancillary costs will not be borne by us, unless there is a mandatory legal liability.

18. Care and Use

18.1 The customer is obliged to use and maintain the supplied or installed products properly.
18.2 Care instructions, manufacturer's instructions, and material specifications must be observed.
18.3 Damage due to incorrect cleaning, unsuitable care products, improper assembly, overuse, or external influences shall be borne entirely by the customer.

19. Image Material and References

19.1 We are entitled to create photo and video recordings of work, vehicles, products, and projects.
19.2 Publication for reference and marketing purposes will only take place if there are no legitimate interests of the customer to the contrary.
19.3 At the customer's request, identifying features such as license plates or personal notes can be anonymized.

20. Data Protection

20.1 Personal data is processed exclusively for contract execution, communication, order processing, delivery, invoicing, and, where permissible, for marketing purposes.
20.2 In all other respects, our privacy policy in its current version applies.

21. Applicable Law and Place of Jurisdiction

21.1 Swiss law applies exclusively, to the exclusion of conflict of laws.
21.2 The place of jurisdiction is, to the extent permitted by law, the registered office of Netz Werk Engineering GmbH.
21.3 Mandatory statutory places of jurisdiction remain reserved.

22. Severability Clause

22.1 Should individual provisions of these GTC be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
22.2 In place of the invalid provision, a permissible regulation shall be deemed agreed that comes closest to the economic purpose of the invalid provision.
